After discussion, both parties mutually agreed to sign this contract covering the following terms:
ARTICLE 1:PARTY A S RESPONSIBILITIES
Party A ensures to provide permanent consultants of Vietnamese Law at party A’s office (Office Hours:From Monday to Saturday, the morning: 8:00 – 12:00 a.m, the afternoon:1:30 – 5:30) with the concrete responsibilities and duties are stipulated as follows:
1.1 When party B requests to be guided the law consultants permanently in its permitted activities. Party A has responsibilities for studying carefully and having consultative ideas on time, fully for party B.
1.2 The Consultants has responsibilities for the guidance of executing the law and only in the requirement of party B in writing with his signature . By reason of party A do not participate in the business activities of party B so Party A is not responsible for this sector.
1.3 Scope of Services
• Corporation law and commercial transactions;
• Employment and labour issues;
• Advertising and promotion;
• Taxation;
• Drafting and/or reviewing commercial contracts as well as other legal documents for CLIENT’s business such as: sales and distribution contracts; leasing and purchase contract;
1.4 Party A has responsibilities for keeping documents, dossiers, files forwarded from party B in order to study and to keep confidential all documents, files and components negotiated with party B.
ARTICLE 2:PARTY B S RESPONSIBILITIES
2.1 When having consultative requirement, party B has to mention clearly the demand in writin.g
2.2 After signing the 05 working days, Party B agrees to pay the consulting fees of 12 months for party A. The payment 22.000.000vnd (including VAT) will be paid for party A..
2.3 In case of party B having controversy or legal procedure toward the justice authorities or requests party A to carry out administrative services, it demands party A saving effort made. We will be charge fees and other agreements.
ARTICLE 3: GERNERAL CONDITIONS
3.1 The contract effective immediately after it is signed, the duration of effect of 12 months.
3.2 Any changes or adjusting of this contract must be discussed and agreed by the two parties in an annex
3.3 The contract is made in 04 (four) copies, (two) in Vietnamese, and (two) in English, having the same equivalence, each side held the 02 (01 (one) copies in Vietnamese, and 01 (one) copies in English) if between the Vietnamese and English with a difference then get a standard English as.
